1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legal agreement between you ("User") and Megaton Inc. ("Company," "we," "us," or "our"). By accessing or using our AI video platform ("Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

We may update these Terms from time to time. We will notify you via email or in-app notification, and continued use after updates constitutes acceptance of the revised Terms.

2. Eligibility

The Service is available worldwide without geographic restriction. By using the Service, you confirm you are legally permitted to do so in your jurisdiction.

3. Description of Service

Megaton Inc. operates an AI video platform offering video masking, rotoscoping, and related AI-powered editing tools. The Service is offered on a freemium basis, with monthly, annual, and pay-per-use credits.

4. User Content & Ownership

Users may upload video, image, and related files ("User Content").

  • Uploading illegal content is strictly prohibited.
  • You retain all rights to your inputs and outputs.
  • We store processed outputs unless you are subscribed to our Enterprise tier, in which case outputs are deleted upon processing.
  • You grant us a limited license to process and host your User Content solely for providing the Service.

5. Payments & Refunds

  • Paid features require subscription or credit purchases.
  • Monthly subscriptions include platform access and a set number of credits.
  • Refunds are granted only for failed generations; subscription fees are non-refundable once the billing cycle begins.

6. Acceptable Use & AI Misuse

You may not:

  • Use the Service for illegal purposes or to violate any law of the United States or applicable jurisdiction.
  • Reverse-engineer, copy, resell, sublicense, or otherwise exploit the Service without prior written permission.
  • Use the Service to create or assist in creating deceptive, harmful, or malicious content, including but not limited to:
    • Deepfakes used for fraud or harassment
    • Non-consensual explicit content
    • Content intended to defame, impersonate, or otherwise cause harm to an individual or group

Commercial use of outputs is permitted, provided it complies with all applicable laws.

7. Disclaimers

The Service is provided "as is" and "as available." We do not guarantee the accuracy, quality, or reliability of outputs. Results may vary based on user inputs, system limitations, and experimental features.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability for any claim is limited to the amount you paid in the 3 months preceding the claim.
  • We are not liable for indirect, incidental, special, or consequential damages.

9. Termination

We may suspend or terminate your account for violating these Terms, engaging in illegal activity, or any action that could harm the Service, its users, or the public. Where feasible, we will provide notice before termination.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Any dispute will be resolved exclusively through binding arbitration in Delaware.
